Terms of Conditions

These Terms of Conditions ("Terms") govern your access to and use of CallZI, an AI-powered communication platform offering voice agents, SMS messaging, scheduling, and workflow automation tools for businesses. By using the Services, you agree to these Terms.
1. Overview
CallZI ("Company", "we", "us", "our") provides software and related services ("Services") to business customers ("Customer", "you", "your"), including features that may use artificial intelligence, automated messaging, and third-party communications infrastructure.
2. Eligibility and Authority
You must be at least 18 years old and have legal authority to enter contracts on behalf of yourself or your organization. If you use the Services for a company, you represent that you are authorized to bind that company.
3. Customer Responsibilities
You are solely responsible for your use of the Services, your campaigns, your contact data, and your communications with end users.
You agree not to:
- Send unsolicited, deceptive, unlawful, or abusive messages or calls
- Use purchased, scraped, rented, or third-party contact lists without consent
- Violate TCPA, carrier policies, 10DLC requirements, or other communication laws
- Misrepresent AI systems as humans where disclosure is required
- Use the Services for fraud, harassment, or other harmful activity
4. Consent Requirements (SMS and Calls)
You must obtain and maintain valid consent before sending SMS/MMS messages or placing automated or AI-supported calls. Where legally required, including under the TCPA, you must obtain prior express written consent for marketing communications.
You must retain records proving consent, including when, how, and what disclosures were presented at opt-in.
5. SMS, TCPA, and 10DLC Compliance
If you use messaging features, you agree to comply with all applicable carrier and messaging ecosystem rules, including 10DLC campaign registration where required.
- Only message recipients who have opted in through a compliant process
- Clearly identify your business in messages
- Support opt-out using keywords such as STOP
- Support help requests using keywords such as HELP
- Honor opt-out requests promptly and do not send further non-exempt messages
Message and data rates may apply to end users as required by carrier programs.
6. AI Disclosure and Automation Risk
You must provide clear disclosure when end users interact with an AI or automated system where required by law or reasonably necessary to avoid deception.
AI outputs may be incorrect, incomplete, delayed, or inappropriate. You are responsible for reviewing and validating outputs before relying on them in operations, customer communications, legal decisions, or safety-related use cases.
7. Call Recording and Monitoring
If you enable recording, transcription, or monitoring, you are responsible for providing all legally required notices and obtaining legally required consent from all participants, including in all-party consent jurisdictions such as California where applicable.
You are responsible for handling stored recordings and transcripts in compliance with applicable law.
8. Third-Party Providers and Integrations
The Services may rely on third-party providers, including Twilio, Vonage, OpenAI, and cloud hosting providers. Availability, delivery, and performance may depend on these providers. We are not responsible for outages or failures caused by third-party services outside our reasonable control.
9. Fees and Billing
- Subscription fees are billed in advance unless otherwise stated
- Usage fees (including SMS, telephony minutes, and AI processing) may apply
- Unless required by law, fees are non-refundable
- You are responsible for taxes and regulatory surcharges associated with usage
10. Service Availability and Changes
We may modify, suspend, or discontinue features at any time. We do not guarantee uninterrupted, secure, or error-free service.
11. Suspension and Termination
We may suspend or terminate access immediately for violations of these Terms, suspected abuse, spam complaints, non-payment, legal risk, or carrier enforcement actions.
12. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, CallZI and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption.
Our aggregate liability for all claims relating to the Services will not exceed the total amount you paid us for the Services during the 12 months before the event giving rise to the claim.
14. Indemnification
You will defend, indemnify, and hold harmless CallZI, its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services
- Your communications campaigns, scripts, prompts, and content
- Your failure to obtain required consent or disclosures
- Your violation of law, regulation, or these Terms
15. Changes to These Terms
We may update these Terms from time to time. Updated Terms become effective when posted. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
